Structuring advisory

Cross-border operating, holding, SPV, trust and foundation structures for founders, investors, families and groups. Jurisdiction and pathway planning takes account of licensing, substance, banking alignment and governance together, on the basis that a structure which satisfies one of them and fails another has not been solved.

External legal and tax advisers are instructed and coordinated by the firm where the matter requires them.

Entity setup

Formation and registration of companies, holdings, SPVs, trusts and foundations in agreed jurisdictions, and the lifecycle changes that follow. Most structures are amended more often than they are created, and the firm treats the amendments as part of the same engagement.

Administration and governance

The work that keeps a structure in good standing between decisions. Registered office and agent services are provided where the jurisdiction allows, and corporate records are maintained so that the register, the resolutions and the filings agree with one another.

Banking

A file prepared to the standard the institution will apply to it. The firm assembles know-your-client and beneficial ownership documentation with the supporting narrative that explains the structure, the source of funds and the expected activity, and coordinates the account-opening process.

Accounts are opened by banks, each applying its own due diligence and approval criteria. The firm gives no assurance as to the outcome.

Accounting, reporting and audit

Documents and operations
