Scope, licensing and limitations.
EXILLIUM sets out below the basis on which it is engaged, the limits of what it undertakes, and the matters that remain with third parties. Clients receive the full terms in the engagement letter and the accompanying scope of work.
- Engagement and scope
- Services are provided subject to licensing, an agreed scope and the engagement terms, including any statement of work or engagement letter. Work not set out in the agreed scope is undertaken only where it has been agreed in writing.
- Licensing
- EXILLIUM FZCO is licensed in the Dubai Multi Commodities Centre. The firm maintains a compliance and money laundering reporting function and prepares enhanced due diligence in-house.
- Legal advice
- The firm does not provide legal advice unless expressly licensed to do so. Legal work is carried out by external counsel, instructed and coordinated by the firm where the matter requires it.
- Tax and audit
- Tax advisory and audit are delivered through licensed partners, unless the firm itself holds the licence for those services in the jurisdiction concerned.
- Outcomes
- Bank accounts, licences, visas, registrations and regulatory approvals are granted by banks, authorities and regulators, each applying its own criteria. The firm prepares and coordinates applications to a standard intended to satisfy those criteria, and gives no assurance as to the outcome.
- Third-party costs
- Unless agreed otherwise in writing, third-party costs are passed through and are not included in fees. These include government, regulator, bank, legal, audit, translation, notarial and courier charges.
- Governance appointments
- Directorships, trusteeships, nominee arrangements and similar appointments are accepted only where they are lawful in the jurisdiction concerned, permitted by the firm’s licence, and separately agreed in writing.
- Confidentiality
- Client information is held in confidence and disclosed only where the firm is required to disclose it by law, by a regulator, or by a bank or authority in the course of an instructed application, and then only to the extent required.
- Client acceptance
- The firm carries out due diligence before accepting an engagement and declines instructions it is not satisfied it can support. Acceptance is not automatic, and the firm gives no reasons where it declines.
